Corporate/ Wills & Estates Law Clerk

We are a well established law firm looking to add a Corporate/Wills & Estates Law Clerk to our Business Law Group working from our Toronto office. This is a unique opportunity for an individual looking to gain experience in a busy law firm with multiple business lawyers who have varying practices. This position is full time in the office.

DUTIES

Corporate

  • Conducting corporate reviews and other related due diligence in connection with transactions; recommending and drafting ratification materials
  • Preparing and filing articles and corporate documentation relating to simple and complex incorporations, amendments, continuances, amalgamations and dissolutions in addition to other complex corporate transactions, primarily under the OBCA and CBCA
  • Preparing necessary documentation related to mergers, acquisitions, financings, asset purchases and reorganizations
  • Preparing routine minute book documentation (e.g., annual meeting materials, changes to directors/officers/registered office address/ share provisions, declaration of dividends, and returns of capital, etc.) and making necessary filings
  • Preparing and filing business name, partnership and limited partnership registrations, amendments, renewals, etc. required by provincial legislation
  • Preparing and filing annual returns, Forms 1 and 2 as required by the Corporations Information Act (Ontario)
  • Attending to Know-Your-Client requests
  • Monitoring and communicating with lawyers with respect to ongoing corporate filing and other requirements
  • Consulting with lawyers and assisting in identifying necessary or appropriate corporate documentation, searching and filing in connection with transactions and other corporate requirements
  • Providing general support to lawyers in coordinating large transactions, drafting simple to complex closing documentation, conducting on-line searches, ordering reports and assisting with other matters relating to transactions
  • Establishing and managing direct client relationships
  • Proactively identifying issues and recommending solutions

Wills & Estates

  • Drafting Wills and Powers of Attorney
  • Preparing Estate administration documentation
  • Administer Estates on behalf of clients
  • Prepare Estate accounting
  • Maintain inventory of Wills and Powers of Attorney using a database
  • Maintain files which includes scanning all incoming and outgoing materials to the electronic files, meeting deadlines, documenting actions, inputting information into bring forward system; confirm matter status with lawyer(s)
  • Prepare written correspondence based on written or verbal instructions and liaise with other lawyers, financial institutions, government and others
  • Communication with clients
  • Prepare accounts for services rendered to clients
  • Family Trusts

REQUIREMENTS

  • Law Clerk diploma or equivalent
  • Preference is for 1-2 years of legal/office experience, but not mandatory
  • Excellent interpersonal and communication skills (both written and verbal) with pleasant and professional disposition for dealing with clients, staff and lawyers
  • Strong computer skills and familiarity with corporate records databases, Estate-a-base, online search and filing websites; accounting software; electronic signing software; docketing and billing software
  • Strong file management skills
  • Excellent written communication skills
  • Possess an eye for attention to detail and drive to maintain accuracy
  • Ability to work in a collaborative team based environment
  • Ability to multi-task and prioritize appropriately and effectively
  • Possess problem solving skills with the ability to exercise judgment to resolve issues as they arise
  • Ability to treat confidential matters with discretion and diplomacy
